Terms of service

1. Who these terms apply to

These terms govern the relationship between Loki Denicolo trading as devbyloki ("we", "us") and you, the client, for web design and development services. By submitting a project brief or paying a deposit, you agree to these terms.

2. Project scope and pricing

All projects are priced on a fixed-price basis. The quote provided in your proposal covers the agreed scope. Scope changes requested after approval may result in an additional charge, which will be quoted separately and require your written approval before work begins.

Prices are in GBP and exclusive of VAT (we are not currently VAT registered). We reserve the right to adjust pricing for future quotes.

3. Payment terms

  • Deposit: 30% of the agreed project fee is due before work begins. Work does not start until the deposit is received.
  • Final payment: 70% of the agreed project fee is due on completion, before the site is deployed to your domain.
  • Method: Payments are processed via Stripe (card). Bank transfer may be arranged on request.
  • Late payment: Invoices unpaid after 14 days may result in work being paused. We reserve the right to charge statutory interest on overdue amounts.

4. Revision rounds

Every project includes 3 revision rounds. A revision round is one consolidated set of feedback from you, followed by one round of changes from us. Revision rounds are counted from the point a preview is shared for your review.

Revision rounds expire at launch and do not carry over. Additional changes after launch are chargeable at the bespoke rate (currently £65/hr) unless covered by your hosting plan.

Revision feedback must be submitted through your personal project page to be counted. Feedback submitted outside the project page (e.g. by email or WhatsApp) will be acknowledged but may not be tracked as an official round.

5. Timeline

Project timelines are estimated and shared in your project proposal. Timelines begin once the deposit is received and all required information and assets have been provided. Delays caused by late asset delivery, slow revision feedback, or scope changes are not our responsibility and will extend the timeline accordingly.

6. Your responsibilities

You agree to:

  • Provide accurate and complete information through your project page
  • Supply required assets (logo, photos, copy) within agreed timeframes
  • Provide consolidated revision feedback — not piecemeal over multiple messages
  • Ensure you have the right to use any content, images, or branding you supply
  • Comply with all applicable laws relating to your website content

7. Intellectual property & ownership

On receipt of final payment, all rights to the website design and code transfer to you. You own it outright.

We retain the right to show the completed website in our portfolio and to describe the project for marketing purposes, unless you ask us not to in writing.

Third-party components, libraries, or fonts included in your site are subject to their own licences, which we will document for you at handover.

8. Hosting

Hosting services (where taken) are provided on a rolling monthly or annual subscription via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months.

We aim for 99.9% uptime but cannot guarantee it. Scheduled maintenance, third-party outages (Cloudflare, etc.), and force majeure events are excluded from any uptime commitment. Hosting does not include development work — content changes are included only in Care and Growth plans.

9. Cancellation

Either party may cancel the project at any time by written notice. If you cancel:

  • Before work begins: deposit refunded in full
  • After work has begun: deposit is non-refundable. You will receive all work completed to date.
  • After final payment: no refund. Work already delivered is yours.

If we cancel (rare, but could occur due to illness or unforeseen circumstances): deposit is refunded in full and we will provide all work completed to date.

10. Liability

Our liability is limited to the total value of the project fee paid. We are not liable for indirect losses, loss of profits, or consequential damages arising from use of the website.

We are not responsible for the performance of third-party services (Google, Instagram, Stripe, Cal.com, etc.) integrated into your website.

11. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
